Set out capital, profit sharing, duties and exit terms between partners in a clear partnership deed that is ready for registration, PAN and banking.
A partnership deed is the written agreement between partners that governs a partnership firm under the Indian Partnership Act, 1932. It is needed to register the firm, apply for its PAN, open a bank account and obtain most licences – and it is the first document anyone looks at when partners disagree.
Registration with the Registrar of Firms is optional, but an unregistered firm cannot sue third parties or its partners to enforce contractual rights (Section 69). We strongly recommend registration – see our partnership firm registration service. If you want limited liability, consider an LLP instead.
