Company Name Change for Private Limited Companies

Why companies change their name

A company name change is common after a rebrand, a change in business focus, a merger, or when the old name clashes with someone else’s trademark. The company stays the same legal entity – only its name changes – so contracts, assets, bank accounts and registrations continue under the new name.

Choosing a new name

  • It must not be identical or too similar to an existing company, LLP or registered trademark.
  • It should not contain words that need government approval unless you have it.
  • It must end with “Private Limited” (or “Limited” for a public company).
  • If the company has defaulted on annual filings or deposits, the ROC may not allow a name change until it is compliant.

The process

  1. Name check – we search the MCA and trademark registers to avoid rejection.
  2. Name reservation through the RUN service.
  3. Board meeting and special resolution of the shareholders approving the new name.
  4. MGT-14 filed within 30 days of the special resolution.
  5. INC-24 application for the name change; the ROC issues a fresh certificate of incorporation.

After the name change

Update the new name on your PAN, TAN, GST registration, bank accounts, licences, letterheads and website. Protect the new brand with a trademark registration.

Our service

We check name availability, file RUN, draft the resolutions and altered MOA and AOA, and file MGT-14 and INC-24 through to the new certificate.
