Starting a collaboration? A memorandum of understanding records what the parties have agreed and makes clear which terms bind and which do not.
A memorandum of understanding (MOU) records the common understanding between two or more parties before – or instead of – a detailed contract. Businesses, startups, NGOs, institutions and government bodies use MOUs to set out a collaboration, joint project or partnership.
It depends on how it is written. Many MOUs are mostly non-binding statements of intent, with a few binding clauses such as confidentiality, exclusivity and governing law. If the parties intend to create legal obligations, the MOU can be drafted as a binding contract. Making this clear avoids disputes later.
| Section | Content |
|---|---|
| Purpose and scope | What the collaboration is about |
| Roles and contributions | Who does what, and resources each party brings |
| Timelines | Milestones and duration |
| Costs and revenue | How expenses and income are shared |
| Confidentiality and IP | Protection of information and ownership of work |
| Termination | How either party can exit |
Our lawyers draft the MOU around your collaboration and mark binding terms clearly. When the relationship firms up, we can turn it into a joint venture agreement or a service agreement. Sharing sensitive information early? Start with a non-disclosure agreement.
